The Swiss tax system is very different from the classic European one. The country is divided into 26 cantons, which in turn are divided into municipalities, so there is a three-level taxation. Corporate tax rates are paid at 3 levels of administrative units: federation, canton, municipality. The single federal rate is 8,5%. It is also supplemented by rates at other levels, their total set often does not exceed 25%, and in some cases it can be about 12%. Each canton is independent, has its own constitution, legislation and taxes. Accordingly, the general corporate tax of the company will differ from canton to canton. Holding structures do not pay corporate tax at the cantonal level, but are subject to a supply of 8,5%.

  • Shareholder (participant) – at least one private or corporate person of any residency.

  • Secretary - the legislator does not require, if desired.
  • Auditor – position and availability is mandatory.
  • The register of beneficiaries - planned to be created in 2023, information will be disclosed only to the competent authorities.
  • Available information - about the name, legal address, amount of the authorized capital, director, participants.
  • Substance requirements – not applicable.
  • Legal address - must be located in the country of incorporation, where the company's accounting records will be kept.
  • Capital - the minimum amount is set at 100 000 CHF. At least 50% must be formed on a temporary account before the incorporation procedure. Full payment of the authorized capital is recommended.
  • Shareholder – at least one private or corporate person of any residency.
  • Director - at least one private person with Swiss residency. Nominee service provided. Subsequent directors may be non-residents.
  • Secretary - the legislator does not require, if desired.
  • Auditor – position and availability is mandatory.

Reporting

All Swiss companies of the form GmbH and AG are required to keep accounting records and submit annual financial statements to the tax authorities.

Large enterprises are also subject to mandatory audit if they meet any two criteria from the list for two years in a row:

  • annual turnover over 40 000 000 CHF;
  • the value of the assets exceeds 20 000 000 CHF;
  • more than 250 employees.

Companies that are registered as VAT payers also prepare quarterly VAT returns.
